User Terms and Conditions
These User Terms and Conditions ("Agreement") are entered into between DAACI Limited, with company number 13095187, and registered office at The Leather Market, Weston Street, London, England, SE1 3ER ("DAACI", "Company", "we", "us", "our") and the User ("User", "you", "your") of DAACI's WiSL application ("WiSL", "App", or "Product").By accepting this Agreement, downloading, installing, accessing, or using WiSL, User agrees to the terms and conditions outlined herein.
1. Acceptance of Terms
1.1 User acknowledges that they have read, understood, and agrees to abide by this Agreement.
1.2 User acknowledges that access to or download of WiSL or any trials offered by DAACI may be subject to further Terms and Conditions (T&Cs) or End-User License Agreements (EULAs) that will need to be accepted at the time of access or download.
1.3 This Agreement is applicable worldwide. However, certain provisions may be superseded or supplemented by local laws in specific jurisdictions.
2. App Use and Content Ownership
2.1 DAACI provides you with access to use WiSL in accordance with these Terms. You may download, install and use the App to create your own content for your own commercial or non-commercial use. Each User must create and use their own account to access WiSL, and sharing account credentials is prohibited.
2.2 The copyright and all related rights in the content resulting from the User's use of WiSL will vest exclusively in the User and to the extent necessary are hereby assigned to the User by DAACI for the full period of copyright and/or other forms of protection and all extensions and renewals thereof. Any data belonging to the User that may be contributed in the course of the User's use of WiSL shall remain the property of the User.
2.3 When collaborating with other users, DAACI's quantitative attribution system will allocate appropriate credit based on each contributor's level of contribution, ensuring fair recognition of all creative inputs.
2.4 All rights not specifically granted are reserved to DAACI. Except as expressly set out in this Agreement, User undertakes:
not to copy WiSL;
not to rent, lease, sub-license, loan, sell, resell, publish, distribute, translate, merge, adapt, vary or modify WiSL;
not to make alterations to, or modifications of, the whole or any part of WiSL, nor permit WiSL or any part of it to be combined with, or become incorporated in, any other programs;
not to disassemble, decompile, reverse-engineer or create derivative works based on the whole or any part of WiSL;
to keep all copies of WiSL secure and to maintain accurate and up-to-date records of the number and locations of all copies of WiSL;
not to provide or otherwise make available WiSL in whole or in part in any form to any person.
3. Eligibility and Account Management
3.1 WiSL is available to users aged 13 years or older. If you are under 18 years of age (or the age of legal majority in your jurisdiction), you must have your parent or legal guardian's permission to use the App, and they must agree to these Terms on your behalf.
3.2 To use WiSL, you must register for an account. Each user must create and maintain their own individual account. When you register, you agree to provide accurate, current, and complete information and to update such information to keep it accurate, current, and complete.
3.3 You are responsible for safeguarding your password and for all activities that occur under your account. You may not share your account credentials with any other person. You agree to notify DAACI immediately of any unauthorised use of your account or any other breach of security.
4. Subscription Plans and Payments
4.1 WiSL offers different subscription tiers, including a free tier with limited functionality and paid tiers with additional features.
4.2 By subscribing to a paid tier, you agree to pay the subscription fees indicated for your selected plan. Payments may be processed through the distribution platform from which you downloaded the App (such as an app store) and/or through DAACI's own payment processing system, as made available to you in the App.
4.3 Unless you cancel at least 24 hours before the end of your current subscription period, your subscription will automatically renew, and you will be charged for the renewal. You can cancel your subscription at any time through the method provided in the App for managing your subscription.
4.4 The App may offer additional features, content packs, or other items for purchase within the App. These in-app purchases are subject to these Terms and any additional terms provided at the time of purchase.
4.5 You acknowledge that your download, access, and any purchases related to the App may also be subject to the terms, conditions, and policies of the distribution platform from which you access or download the App.
4.6 Each subscription tier provides different limitations on the number of tracks that can be created and saved. These limitations will be clearly displayed in the App at the time of subscription selection and may change from time to time. The free tier has the most restrictive limits on track creation and saving, while paid tiers offer increased or unlimited track creation and storage based on the specific tier.
4.7 When upgrading from a lower tier to a higher tier, your new benefits will be available immediately and any prorated difference in subscription fees will be charged. When downgrading from a higher tier to a lower tier, the change will take effect at the end of your current billing period, and any excess tracks or content that exceeds the limits of your new tier may become inaccessible until you upgrade again.
5. Termination
5.1 DAACI may terminate User's use of WiSL where a trial period has ended or where a clear breach of this agreement has been identified.
5.2 On termination for any reason: all rights granted to User shall cease; save that User shall retain ownership of all rights in the content created as a result of User's use of WiSL as provided for in Section 2.2 above. User must immediately cease all activities authorised by this Agreement; and User must immediately and permanently delete or remove WiSL from all devices in their possession. User's account will be deactivated, and they will no longer have access to the App. Any and all content created from the User's use of WiSL shall be excluded from the foregoing requirements and may be retained by the User free of any restriction.
6. Intellectual Property Rights
6.1 All intellectual property rights in the App, including but not limited to all content, design, graphics, text, sounds, images, software, and other materials are owned by or licensed to DAACI. Nothing in these Terms grants you any right to use DAACI's intellectual property for any purpose other than using the App in accordance with these Terms.
6.2 The WiSL name, DAACI name, and all related logos, product and service names, designs, and slogans are trademarks of DAACI or its affiliates or licensors. You must not use such marks without the prior written permission of DAACI.
7. Privacy and Data Protection
7.1 DAACI is committed to protecting User's personal data and will process it in accordance with applicable data protection laws globally and as outlined in DAACI's Privacy Policy. User hereby consents to such data processing.
7.2 User acknowledges that DAACI may collect and process personal data as necessary for the purposes described in the Privacy Policy.
7.3 DAACI will take appropriate technical and organisational measures to protect User data against unauthorised access or disclosure.
7.4 Data Deletion Rights: Users have the right to request deletion of their personal data held by DAACI. To exercise this right, you may submit a request through the App's settings or by contacting us at privacy@daaci.com. We will respond to your request in accordance with applicable data protection laws and will process your request within the timeframe required by such laws (typically within 30 days for GDPR requests). Please note that:
Some information may be retained for legal or legitimate business purposes
Content you've created or shared with others may remain available even after account deletion
Deletion requests may be subject to verification of your identity
Certain data may be anonymised rather than deleted where permitted by law
7.5 If WiSL experiences a software failure, the App may automatically upload information about the context and state associated with the failure to DAACI via a third party service, including App state, specifications of the operating system, and directories directly relating to WiSL. All information collected will be for the sole purpose of diagnosing the failure.
7.6 The musical content you create using WiSL will not be used to train external AI models. By using WiSL, you automatically opt out of having your tracks or compositions included in AI training datasets outside of DAACI. However, DAACI may process your tracks internally for the limited purposes of app improvement, debugging, and enhancing the WiSL music creation experience. This internal processing is exclusively for improving the app functionality and will not be used to train models that generate music outside of your direct creative input and control.
8. Acceptable Use
8.1 User agrees not to:
Use WiSL for any illegal purpose or in violation of any applicable laws;
Violate the rights of third parties, including intellectual property rights;
Post, upload, or distribute any content that is unlawful, defamatory, libelous, inaccurate, or invasive of privacy;
Interfere with security features of WiSL;
Interfere with the operation of WiSL or any user's enjoyment of the App;
Use WiSL to generate music that contains hate speech, promotes violence, or violates the rights of others;
Attempt to impersonate another user or person;
Create multiple accounts for the same user;
Share your account credentials with any other person;
Sell, transfer, or lease your account to any third party;Use automated means or scripts to access or use the App;
Attempt to access features or areas of the App that you are not authorised to access;Use the App to collect or harvest any information about other users.
8.2 WiSL is designed for creating original music compositions. You agree not to use the App for purposes not intended by its design, including but not limited to:
Using WiSL for live DJ performances or real-time performance settings for which it is not designed;
Using WiSL in ways that deliberately circumvent subscription tier limitations;
Attempting to extract or isolate individual samples or components from the WiSL ecosystem outside of the permitted export formats.
8.3 When recording vocals within WiSL, you confirm that you own or have the necessary rights to all vocal content you record or upload. You agree not to record or upload vocals owned by third parties without proper permission and licensing. You are solely responsible for ensuring your vocal recordings do not infringe on the rights of others.
9. Use of Samples
9.1 User may use the included samples only within their own newly-created sound recording(s) and/or performances in a manner that renders the samples substantially dissimilar to the original sound.
9.2 You may not use these sounds for any commercial or non-commercial purpose except where you have combined them with other sounds within musical compositions and/or recordings.
9.3 This agreement expressly forbids resale or other distribution of the samples or their derivatives, either as they exist in the library, reformatted for use in another sampler, or mixed, combined, filtered, re-synthesised or otherwise edited, for use as sounds, multi-sounds, samples, multi-samples, sound sets, programs or patches in a sampler, microchip, computer or any sample playback device.
9.4 You may not sell any samples, or give away any samples for use by any other person(s). Samples may not be used in or in relation to any competitive Product(s).
10. Limitation of Liability
10.1 WISL IS PROVIDED "AS IS", AND TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW DAACI DISCLAIMS ALL WARRANTIES WITH REGARD TO WISL WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR USE, SATISFACTORY QUALITY, OR QUIET ENJOYMENT. DAACI DOES NOT WARRANT THAT THE USE OF WISL WILL BE UNINTERRUPTED OR ERROR FREE SAVE THAT DAACI WARRANTS AND REPRESENTS THAT WISL DOES NOT CONTAIN ANY VIRUSES AND THAT THE USER'S USE OF WISL WILL NOT INFRINGE THE RIGHTS OF ANY THIRD PARTY.
10.2 Subject to clause
10.3 DAACI shall not in any circumstances be liable to User, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, arising under or in connection with the Agreement for:
(a) loss of profits, sales, business, or revenue;
(b) business interruption;
(c) loss of anticipated savings;
(d) loss or corruption of data or information;
(e) loss of business opportunity, goodwill or reputation; or
(f) any special, indirect or consequential loss, damage, charges or expenses.
10.3 Nothing in this Agreement shall limit or exclude liability for:
(a) death or personal injury resulting from negligence;
(b) fraud or fraudulent misrepresentation;
(c) any other liability that cannot be excluded or limited by applicable law;
(d) willful default;
(e) breach of DAACI's warranty to User in paragraph 10.1 above.
11. Refund Policy
11.1 Refund policies for WiSL subscriptions or in-app purchases will depend on the payment method used:
(a) For purchases made through a distribution platform (such as an app store), refunds are subject to that platform's refund policy. Users must contact the relevant distribution platform directly to request a refund for such purchases.
(b) For purchases made directly through DAACI (where such option is available), users may be entitled to a refund within 14 days of the purchase date, provided that:
(i) The subscription has not been used or activated, and
(ii) You submit a refund request as instructed by DAACI within the 14-day period.
11.2 Refunds for trial versions are not applicable as trials are offered free of charge.
11.3 DAACI reserves the right to review each refund request individually and may require additional information to process the refund.
12. Governing Law and Dispute Resolution
12.1 This Agreement shall be governed by and construed in accordance with the laws of England and Wales.
12.2 For users residing outside the United Kingdom, mandatory local consumer protection laws may apply in addition to these Terms.
12.3 Any disputes arising from this Agreement shall first be attempted to be resolved through good faith negotiation. Any legal action relating to this Agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales, except where prohibited by applicable law.
13. User Content and Community Interaction
13.1 The WiSL App may include bulletin boards, chat rooms, community features, and other interactive areas where you can post, submit, publish, display, transmit or share content with other users (collectively "User Content").
13.2 These interactive areas are provided as forums to express opinions and share ideas and information. We expect people to differ in judgment and opinion, and we encourage free speech and the exchange of ideas. By using these areas of the Service, you are participating in a community that is intended for all of our users.
13.3 Any comments, posts, feedback, notes, messages, images, audio, materials, ideas, suggestions or other communications you submit on or through the Service are not private. By submitting User Content on or through the Service, you grant DAACI and its affiliates an irrevocable, royalty-free, worldwide, perpetual right and license to use, copy, modify, display, archive, store, distribute, reproduce and create derivative works based upon such User Content, in any form, media, software or technology of any kind now existing or developed in the future.
13.4 By submitting such User Content on or through the Service, you confirm that:You are the sole author of the User Content and the User Content is original with you and not copied in whole or in part from any other work;You have obtained all necessary permissions associated with the User Content, including without limitation permissions relating to copyrights, trademarks, rights of publicity and/or rights of privacy;The User Content is not libelous, obscene or otherwise in violation of this Agreement.
13.5 By submitting any such User Content on or through the Service, you grant DAACI and its affiliates permission to use your name and any other information (as provided by you) to attribute such User Content to you. You also grant DAACI and its affiliates the right to use any material, information, ideas, concepts, know-how or techniques contained in such User Content for any purpose whatsoever, including but not limited to developing, manufacturing, and marketing products using or inspired by such User Content.
13.6 DAACI is not responsible for the similarity of any of our content or programming in any media to User Content submitted by you. All rights granted in this section are granted without the need for additional compensation of any sort to you.
14. Cross-Platform Content Sharing
14.1 WiSL may provide functionality that allows you to share your created tracks and videos on third-party platforms and social media services (such as TikTok, Instagram, or similar platforms).
14.2 When you choose to share your WiSL content on third-party platforms:
You remain the owner of your created content, but you acknowledge that each third-party platform will apply their own terms of service to the content once shared on their platform
You are responsible for complying with the terms of service of any third-party platform where you share your content
DAACI is not responsible for how third-party platforms may use, display, modify or distribute your content
DAACI may add a WiSL watermark, logo, or attribution to content shared on third-party platforms
14.3 By using WiSL's sharing features, you grant DAACI permission to transmit your content to the third-party platform you have selected and to process your content as necessary to enable such sharing functionality.
15. Final Provisions
15.1 DAACI reserves the right to amend this Agreement at any time by providing notice to User. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.
15.2 This Agreement constitutes the entire agreement between the parties concerning use of WiSL and supersedes all prior agreements, whether oral or written.
15.3 If any provision of this Agreement is held by a court to be unlawful or unenforceable, the remaining provisions will remain in full force and effect.
